This Agreement is entered into as of the date of electronic acceptance between Final Touch Renovation, Inc. ("Company"), a California corporation headquartered in San Diego, California, and the individual completing this registration ("Partner").

1. Confidentiality

Partner agrees to hold strictly confidential all proprietary information disclosed by Company, including but not limited to: pricing structures and tier methodologies, client lists and contact information, active project scopes and budgets, estimation tools and platform architecture, vendor and subcontractor relationships, and internal business processes. Partner shall not disclose such information to any third party without prior written consent from Company.

2. Non-Solicitation

During the term of this Agreement and for a period of two (2) years following its termination, Partner agrees not to directly solicit, independently contact, or engage with any client introduced through Final Touch Renovation's platform, referrals, or active projects for the purpose of providing competing renovation, construction, or related services outside of the Company relationship.

3. Brand Standards & Professional Conduct

Partner agrees to represent Final Touch Renovation with the highest level of professionalism, maintaining quality standards consistent with Company expectations. Partner shall not misrepresent their relationship with Company, use Company's name, logo, or materials without express written permission, or take any action that could damage the Company's reputation or client relationships.

4. Licensing, Bonding & Insurance

Partner represents and warrants that they hold all required licenses, contractor bonds, and general liability and workers' compensation insurance coverage as required by the State of California and applicable local jurisdictions for the scope of services they perform. Partner agrees to maintain such coverage in good standing throughout any active project period and to provide proof upon request.

5. Platform & Tool Access

Access to the Company's Partner Portal, Pricebook, Flight Plan estimator, and all associated tools and resources is granted solely for the purpose of facilitating Company-authorized projects and partnerships. Unauthorized reproduction, redistribution, sharing of credentials, or commercial use of these tools outside of the defined partnership is strictly prohibited.

6. Term & Termination

This Agreement becomes effective upon electronic acceptance and remains in force until either party provides thirty (30) days' written notice of intent to terminate. Company reserves the right to revoke Partner access immediately upon any material breach of the terms herein, without liability or compensation.

7. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of San Diego County, California.
